1. Purpose of This Disclosure
This Risk Disclosure is provided so that anyone engaging with Rex Holding SIA (“Rex Holding”, “we”, “us”, “our”) — whether as a prospective client, investor, counterparty, or website visitor — understands the nature of our role, the limits of what we provide, and the risks inherent in capital raising, M&A, and investment-related activity. It should be read together with our Terms of Service and Privacy Policy, and does not replace independent professional advice.
2. We Are Not a Regulated Investment Firm
Rex Holding SIA is registered in Latvia as a private limited company (SIA) and provides advisory and introductory services. We are not licensed or authorised as an investment firm, broker-dealer, payment institution, or credit institution in Latvia, Norway, or any other jurisdiction, and we are not supervised by the Latvian Financial and Capital Market Commission (or its successor within the Bank of Latvia) or any equivalent regulator.
As a result:
- We do not hold, control, or have custody of client funds, securities, or other assets at any point.
- We do not execute trades, place orders, or act as intermediary in the settlement of any transaction.
- We are not subject to investor-protection schemes, deposit guarantee schemes, or regulatory capital requirements that apply to licensed financial institutions.
- Nothing we publish or communicate should be read as implying that we hold any financial services licence or regulatory authorisation.
3. Nature of Our Services
Our work consists of advisory and introductory services — including target identification, valuation support, deal structuring input, preparation of investor materials, and making introductions between companies and potential investors or counterparties. We do not provide financial, legal, tax, or accounting advice unless this is explicitly agreed in writing as part of a specific engagement, and even then, such advice is limited to the scope defined in that engagement letter.
4. No Guarantee of Outcome
Engaging Rex Holding does not guarantee that:
- Capital will be raised, or raised within a particular timeframe or on particular terms.
- Any introduction will lead to a completed transaction.
- Any acquisition, sale, or financing process will close successfully, or close on terms favourable to any party.
- Past results referenced in case studies, mandates, or marketing materials (including transaction counts or sector experience) are indicative of future performance.
Every transaction and market environment is different, and outcomes depend on factors outside our control, including counterparty decisions, market conditions, financing availability, and regulatory developments.
5. General Risks of Investment, M&A, and Capital Raising Activity
Anyone considering an investment, acquisition, sale, or capital raise should be aware that such activity carries inherent risks, including but not limited to:
- Loss of capital — the value of an investment or business can fall as well as rise, and investors may not recover the full amount invested.
- Illiquidity — private company shares, project interests, and similar instruments are typically illiquid and may be difficult to sell or value.
- Market and sector risk — conditions in energy, manufacturing, defence, aviation, and other sectors we advise on can change quickly due to regulatory, geopolitical, or macroeconomic factors.
- Execution risk — transactions may be delayed, repriced, restructured, or terminated during due diligence or negotiation.
- Counterparty risk — the performance, solvency, or conduct of investors, acquirers, sellers, or other counterparties introduced through Rex Holding is outside our control.
- Cross-border risk — transactions spanning the Baltics, Nordics, and wider Europe may involve differing legal, tax, and regulatory regimes that affect timing, structure, or outcome.

We strongly recommend that any party considering an investment, acquisition, disposal, or financing arrangement obtain independent legal, financial, tax, and (where relevant) regulatory advice before making any decision or committing funds. Information provided by Rex Holding, including in presentations, financial models, or case studies, should be independently verified and should not be relied upon as the sole basis for a decision.

Full details of any mandate are generally available only under non-disclosure agreement, and the inclusion of a sector or deal type on our website does not constitute an offer or solicitation in relation to that sector or deal type.
